TERMS AND CONDITIONS

Panntrade.com (hereinafter referred to as: Service Provider) provides online used car supply services to its registered partners (hereinafter referred to as: User) with the following conditions.

I. Definition of the service
Service Provider engages to publish its used car supply (updated on a daily basis) on www.panntrade.com website for its contractual car trader partners.
Service Provider gives the Users proper access to the online database of used cars. The Service Provider acts as a mediator by allowing Users to place a bid on any used car in the database.

II. Service fee
Registration can be completed free of charge. Service Provider only charges commission after successful bid transactions. This commission amounts to 100 EUR/vehicle. The commission is charged on the purchase invoice of the vehicle.

III. Conclusion of the Agreement on using the Service
Users declare their intention of using the Service by completing and submitting (online) the electronic registration form located on the registration page of the Service Provider in a true and authentic manner and with true details. By submitting the online form, the User accepts this Terms and Conditions as legally binding on them. The Service Provider immediately confirms the registration of the User by e-mail. The Agreement between the parties comes into force by making the confirmation available for the User. The Agreement entered into by the parties calls for indefinite period. Service Provider engages to provide the service for the User from the date of conclusion of the Agreement.

IV: Conditions of the service
Technical conditions:
It is a prerequisite for the User to have proper internet access and connection to be able the use the Service.

Personal conditions:
The Service can be used by any business association having valid Community VAT number and registered within the EU, or other companies registered outside the European Union. Users are allowed to transfer the use of Service to third parties at their own risk. User shall take full responsibility for all uses of the Service that require their login details, in particular their password.

Time limits:
Use of the Service is not restricted in time. Service Provider engages to provide 24/7 accessibility to the Service.

V. Rights and obligations of the User
Any changes to the details of the User provided at the time of registration shall be reported to the Service Provider within 15 days of occurrence so the Service Provider can adopt such changes in its records.
User is legally bound to secrecy toward third parties with respect of the username and password required to log into the system and to use the Service. User shall take full responsibility for any damages arising out of the breach of this obligation.
User is obliged to settle all offers, transferred within the framework of the Service, and prices toward the Service Provider within 10 working days of the notification. Responsibility for damages arising out of the gross negligence of other failure of the User shall be solely and fully borne by the User.

VI. Rights and obligations of the Service Provider
The Service Provider 
a)	reserves the right to modify the Service content at any time without prior notification and to suspend or restrict the accessibility of the Service.
b)	reserves the right to immediately disqualify such Users from the system (with deletion of their data) that do not comply with the Terms and Conditions of the Agreement.

VII. Data management & Data Safety

The Service Provider engages to handle all information confidentially which come to its knowledge and undertakes not to make available for third parties or otherwise disclose them without the prior written approval of the party involved.
